These Terms and Conditions govern your access to and use of xorth.com and the Xorth platform (the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Xorth is operated by OcelAI Private Limited, a company incorporated in India. Xorth provides AI-powered video monitoring and analytics for organisations in construction, manufacturing, retail and property management. The Services include our website at xorth.com, the dashboards, APIs and associated documentation. Commercial use is governed by the separate customer agreement and order form that accompany your subscription; where those documents conflict with these Terms, the customer agreement prevails.
You are responsible for maintaining the confidentiality of any credentials Xorth issues and for all activity that occurs under your account. You agree not to misuse the Services, attempt to access them other than through the interfaces we provide, interfere with their operation, reverse engineer the AI models, or use them in violation of applicable law — including any law governing surveillance, employee monitoring or personal data in the jurisdiction where you deploy them.
Xorth, the Xorth logo, the Services, the underlying AI models, and all related content, software and documentation are the property of OcelAI Private Limited and its licensors and are protected by copyright, trademark and other intellectual property laws. You may not copy, modify, distribute, sell or create derivative works of any part of the Services without our prior written consent. Limited use rights are granted under the customer agreement that governs your subscription.
Where Xorth processes video, images or other operational data on behalf of a customer, that data remains the customer's. Xorth processes such data only as instructed by the customer and as permitted by the Privacy Policy and the applicable data-processing agreement. Under the Digital Personal Data Protection Act, 2023 the customer acts as Data Fiduciary and Xorth acts as Data Processor. Aggregated, de-identified data that cannot reasonably be used to identify an individual or a customer may be used to improve the Services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." THE DETECTION MODELS ARE PROBABILISTIC AND MAY PRODUCE FALSE POSITIVES AND FALSE NEGATIVES. THE SERVICES ARE AN AID TO SUPERVISION AND ARE NOT A SUBSTITUTE FOR STATUTORY SAFETY SYSTEMS, FIRE DETECTION AND SUPPRESSION SYSTEMS, COMPETENT PERSONS, PERMITS TO WORK, OR ANY OBLIGATION IMPOSED ON YOU BY LAW. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCELAI PRIVATE LIMITED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OCELAI PRIVATE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. YOU AGREE TO INDEMNIFY AND HOLD OCELAI PRIVATE LIMITED HARMLESS FROM ANY CLAIM ARISING FROM YOUR BREACH OF THESE TERMS.
OcelAI Private Limited may update these Terms from time to time. The latest version will always be posted on this page. Continued use of the Services after an update indicates your acceptance of the updated Terms.
These Terms are governed by the laws of the jurisdiction in which Xorth is established, without regard to its conflict of laws principles. Any dispute arising under or related to these Terms will be subject to the exclusive jurisdiction of the courts of that jurisdiction. Questions about these Terms can be sent to info@ocelai.com.
